TERMS AND CONDITIONS OF SALE 1 Acceptance of Order All sales made by Jones & Hall LLP (The Company) shall be deemed to incorporate these terms and conditions. All orders are accepted and fulfilled subject to these terms and conditions. 2 All goods are subject to availability. 3 Product Specification Actual dimensions and specifications are given as a guideline only, no liability will be accepted for any variations where such variations are beyond the control of the Company. 4 Returns A full credit will be given for all items returned within 7 days of delivery only in the event that such items are received by us undamaged, unopened and fully marketable. The Company reserves the right to make a handling/administration charge. Food and Special Order items can not be returned. 5 Delivery Whilst every effort will be made to dispatch goods on time, no liability can be accepted by the Company for the late delivery of goods. No liability for shortages or damage will be accepted by the Company unless the Customer notifies the Company in writing within seven days of receipt of goods. 6 Prices Goods are charged at the prices ruling at the time or ordering. V.A.T. will be applied to all invoices at the then prevailing rate. Whilst every effort is made to maintain the prices shown, this Company reserves the right to modify prices. Any price modification will be notified at point of sale. 7 Payment Terms All credit account invoices are due for payment within 30 days of invoice date. We will exercise our statutory right to claim interest and compensation for debt recovery costs under the late payment legislation if we are not paid according to our credit terms. The Company also reserves the right to suspend supply at its discretion. 8 Property and Title No property or title to goods shall pass from the Company to the Customer, unless and until the full amount of the value of the goods as invoiced has been credited to the Company’s bank account, with recourse, or the Company has received the full amount of cash and the Customer shall indemnify the Company against loss or damage to the goods whilst in the Customer’s custody. Risk of damage to or loss of the goods shall pass to the Customer at the time of delivery or, if the Customer wrongfully fails to take delivery of the goods, at the time when the Company has tendered delivery of the goods. 9 Cancellation Since under normal circumstances goods are acquired by the Company on the same day as receipt of order, the Company reserves the right not to accept cancellation of orders. Where cancellation is accepted, the Company reserves the right to indemnity from the Customer in full for costs incurred. 10 Warranty/On Site Service All goods come with standard manufacturer’s warranties. 11 Liability The Company accepts no liability for any consequential loss whether direct or indirect howsoever caused. The Company’s liability in respect of breach of contract or non performance shall in no instance exceed the value of the goods to which the claim relates. 12 Force Majeure In the event that the Company is prevented from carrying out its obligations as a result of but not limited to any cause beyond its control, such as Acts of God, War, Strike, the Company shall be relieved of its liabilities under such contract for as long as the action continues. 13 Law If by joint agreement or by a court of law it is decided that one or more of these terms are illegal, void or unenforceable, this agreement will continue, however the offending term or terms will be deleted or changed so that it is no longer illegal or unenforceable. This agreement is governed by English Law and comes under the jurisdiction of the English Courts.
